1. Introduction

This Refund Policy explains how refunds, billing, and cancellations work for the CarrierWin web-based fleet management platform (the "Service") operated by AMERI MARKETING LTDA ("we," "us," or "our").

Paddle is our Merchant of Record. All billing, payment processing, and refund requests are handled by Paddle. For any billing-related questions or refund requests, please contact Paddle Support or review Paddle's Terms of Service and Paddle's Privacy Policy.

2. Our Pricing Model

CarrierWin uses a simple per-truck subscription model:

  • $7 per truck per month
  • Minimum $14 per month (2 trucks minimum)
  • No long-term contract — cancel anytime
  • 14-day free trial — no credit card required

3. Free Trial Period

No Credit Card Required

We offer a 14-day free trial of the full Service. No credit card is required to start your trial. During the trial period, you will have complete access to all features of CarrierWin, including:

  • Load Calculator with GREEN/YELLOW/RED profit signals
  • Gatekeeper with cumulative debt tracking
  • Fleet Dashboard
  • Truck Setup and Company Cost Configuration
  • Reports and CSV export
  • Role-based access (Owner + Dispatcher roles)

Trial Expiration

If you do not provide payment details and upgrade to a paid subscription before your 14-day trial expires:

  • Your account will be automatically converted to read-only mode
  • You will not be charged anything
  • You will retain access to view your historical data
  • You may upgrade to a paid subscription at any time to restore full access

4. Billing and Payment

Merchant of Record

Paddle acts as our Merchant of Record for all purchases. When you subscribe to CarrierWin:

  • You contract directly with Paddle, not with AMERI MARKETING LTDA
  • Paddle processes your payment securely
  • Paddle calculates and collects any applicable taxes (VAT, GST, sales tax, etc.)
  • Paddle issues your invoice/receipt
  • Your credit card or bank statement will show a charge from "PADDLE.NET *CARRIERWIN" or similar

Billing Cycle

CarrierWin is billed on a monthly recurring basis. Your billing date is the day you first subscribe to a paid plan. You will be charged in advance for each billing period.

Price Changes

We reserve the right to adjust our pricing. Any price changes will be communicated to you with at least 30 days' notice before taking effect. Your continued use of the Service after the price change takes effect constitutes your agreement to the new pricing.

5. Cancellation Policy

Cancel Anytime — No Penalties

There is no contract and no cancellation fee. You may cancel your subscription at any time.

What Happens When You Cancel

  • No future charges: You will not be charged for the next billing cycle
  • Access continues until period ends: You retain full access to the Service until the end of your current billing period
  • Read-only mode after period ends: Once your billing period ends, your account converts to read-only mode
  • No refunds for partial periods: We do not provide prorated refunds for partial billing periods

How to Cancel

To cancel your subscription:

  • Log into your CarrierWin account at app.carrierwin.com
  • Navigate to your account or billing settings
  • Follow the cancellation instructions
  • Or contact Paddle Support for billing-related cancellation assistance

6. Refund Policy

No Refunds After Billing Starts

We do NOT offer refunds for any billing periods that have already started.

This includes:

  • No refunds for partial billing periods
  • No refunds for unused days in your billing cycle
  • No refunds for features you did not use
  • No refunds after cancellation takes effect (cancellation only stops future charges)

The Exception: Trial Period

Because we offer a 14-day free trial with no credit card required, you have ample opportunity to evaluate the Service before any charge occurs. If the Service does not meet your needs, you may cancel before the trial ends and you will not be charged.

Billing Disputes

All billing disputes are handled by our Merchant of Record, Paddle. If you believe you have been charged incorrectly or need to dispute a charge:

  • Contact Paddle Support directly
  • Review your invoice/receipt issued by Paddle
  • Paddle's refund and dispute policies apply to all transactions

While we do not process refunds directly, we will cooperate with Paddle in resolving any legitimate billing disputes as required by law.

7. Post-Cancellation: Data Access and Retention

Read-Only Mode

After your subscription ends (whether by cancellation or trial expiration), your account enters read-only mode. In read-only mode:

  • You can still log into your account
  • You can view all your historical data (trucks, loads, reports)
  • You can export your data in CSV format where available
  • You cannot add, edit, or delete any data
  • You cannot run new calculations or access certain features

Data Retention

We retain your data indefinitely after your subscription ends. You may:

  • Access your data in read-only mode at any time by logging in
  • Export your data for your records
  • Request permanent deletion of your data by contacting us at legal@carrierwin.com

There is no time limit on how long we retain your data in read-only mode. Your data will be kept until you explicitly request deletion or until we determine it is no longer necessary to retain.

Reactivating Your Account

If you wish to reactivate your subscription after cancellation:

  • Simply log into your account
  • Navigate to the billing or subscription page
  • Follow the instructions to upgrade or reactivate
  • All your existing data will be preserved

8. Downgrades and Plan Changes

If you change the number of trucks in your fleet:

  • Adding trucks: The additional charge will be prorated for the remainder of your billing cycle
  • Removing trucks: The reduction will take effect at the start of your next billing cycle (no proration or refunds for removed trucks during the current cycle)

There is a 2-truck minimum ($14/month minimum charge). You cannot reduce your fleet below 2 trucks while maintaining an active subscription.

9. Service Interruptions and Credits

We strive to provide 24/7 availability of the Service. However, we do not guarantee uninterrupted access. Scheduled maintenance may be performed during off-peak hours.

In the event of a significant service outage that is within our control, we may, at our sole discretion, provide one or more of the following:

  • Account credits for future billing periods
  • Extensions of your subscription period

This is our sole obligation for service interruptions. We do not provide cash refunds for downtime.

10. Governing Law

This Refund Policy shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

Any dispute arising from or relating to this Refund Policy, billing, or refunds shall be resolved in accordance with the dispute resolution procedures outlined in our Terms of Service.

11. Changes to This Refund Policy

We reserve the right to modify this Refund Policy at any time. If we make material changes, we will provide at least 30 days' notice prior to the changes taking effect, either by:

  • Posting the updated policy on this page with a new "Last Updated" date
  • Emailing registered users at the email address associated with their account
  • Posting a notice in the Service when you log in

Your continued use of the Service after the effective date of the revised Refund Policy constitutes your acceptance of the changes.
